Terms and Conditions for Review RX Reputation Management

These Terms and Conditions (“Terms”) govern your use of the website [www.reviewrx.ca] and the services provided by Review RX Reputation Management (“Review RX”, “we”, “us”, or “our”). By accessing our website or using our automated reputation management platform, you agree to be bound by these Terms.

1. Services Provided

Review RX provides a Software-as-a-Service (SaaS) platform that automates the acquisition of customer reviews, manages review responses, and repurposes review content for social media. These services are provided "as-is" and are subject to the technical availability of third-party platforms such as Google, Facebook, and Instagram.

2. Subscription & Billing

Fees: Client agrees to pay the monthly or annual subscription fees as selected during checkout.

Payment Processing: All payments are processed securely via Stripe. By providing your payment information, you authorize Review RX to charge the recurring fee until the subscription is cancelled.

Usage Fees: Client acknowledges that SMS and Email usage fees are "pay-as-you-go" and will be rebuilled based on actual volume sent through the platform.

Refunds: Due to the digital nature of our software and the immediate allocation of resources, all fees are generally non-refundable unless specified in a limited-time "Money-Back Guarantee" offer.

3. SMS & Communication Compliance (A2P 10DLC)

By using our SMS automation features, the Client represents and warrants that:

Consent: All customer phone numbers provided to Review RX have been collected with the customer's express "opt-in" consent to receive business communications.

Purpose: SMS messages will only be used for the specific purpose of reputation management and review acquisition.

Opt-Out: Every automated SMS will include instructions on how to opt-out (e.g., "Reply STOP to opt out").

Indemnification: Client agrees to indemnify Review RX against any legal claims or carrier fines (e.g., TCPA violations) resulting from the Client’s failure to obtain proper customer consent.

4. Client Responsibilities

Accuracy of Data: The Client is responsible for ensuring the accuracy of the customer lists uploaded to the platform.

Third-Party Terms: The Client must comply with the terms of service of Google Business Profile and any social media platforms integrated with Review RX.

Account Security: The Client is responsible for maintaining the confidentiality of their login credentials for the Review RX platform.

5. Intellectual Property

All software, templates, and branding elements provided by Review RX are the intellectual property of Review RX. The Client is granted a non-exclusive, non-transferable license to use these tools during the term of their active subscription.

6. Limitation of Liability

To the maximum extent permitted by law, Review RX shall not be liable for any indirect, incidental, or consequential damages (including loss of business ranking or revenue) arising out of the use or inability to use our services. We do not guarantee a specific number of reviews or a specific Google search ranking.

7. Termination

By Client: You may cancel your subscription at any time via your dashboard or by emailing our support team. Cancellation will take effect at the end of the current billing cycle.

By Review RX: We reserve the right to suspend or terminate accounts that violate carrier compliance rules, engage in "spamming" practices, or fail to pay subscription fees.

8. Governing Law

These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada. Any disputes shall be settled in the courts of Fredericton, New Brunswick.

9. Changes to Terms

We may update these Terms from time to time to reflect changes in laws or carrier regulations. We will notify Clients of significant changes via the email address on file.
